REAL ESTATE (Miami or any Florida office preferred, but location flexible) – We are open to candidates with experience in commercial real estate transactions. Corporate Governance Counsel (New York)

The Corporate Governance Counsel role is an exciting opportunity to support Bloomberg in promoting excellent standards of governance and to operate an end-to-end corporate secretarial program. Intellectual Property/Commercial Transactions Counsel (New York)

Bloomberg is seeking an intellectual property/commercial transactions Fellow to join its in-house legal department.  The Fellow will be responsible for the review, drafting and negotiation of a wide-range of commercial contracts including agreements relating to technology transactions, software licensing, procurement, services, outsourcing, reseller and manufacturing agreements.
The Intellectual Property/Commercial Transactions Fellow will advise clients on a broad range of intellectual property matters and commercial legal advice, with an emphasis on software development, deployment, licensing (on-premise and cloud), and compliance; technology-related consultancy and professional services engagements, and open source software compliance. The Fellow will work with Engineering, Information Technology, Supply Chain, Vendor Risk, Facilities and R&D teams to provide support on commercial and technology-related transactions and intellectual property-related issues.

You’ll need to have: 

  • Minimum of five (5) years’ related professional legal experience

  • Experience drafting, negotiating, and closing commercial contracts, software licenses, SaaS and other technology-related services agreements

  • Efficiently manage a large volume and variety of general matters, negotiate numerous standard and complex corporate and commercial agreements, all in a dynamic, fast-paced environment

Counsel, Cybersecurity and Vendor Risk (New York)

Based in our New York headquarters, the OnRamp Fellow will advise on data security, data governance, cross-border data transfers, data localization, and related issues. The Fellow will support product and engineering teams throughout the product development and deployment life cycle. The Fellow will advise our vendor risk management team on due diligence practices and incident management protocols. Within the Legal Department, you will provide subject matter expertise to support commercial counsel to negotiate vendor agreements, including GDPR data transfer impact assessments and SCCs.

You’ll need to have: 

  • Membership in the New York State Bar or the necessary qualifications to register as in-house counsel

  • 4-8 years of cybersecurity and privacy experience at a law firm or in-house

  • Strong contract drafting and negotiating skills, including experience building and maintaining templates and associated processes and trainings

The Denver office is seeking an associate with 2-6 years of experience to join the finance section of our real estate group. The ideal candidate will have experience representing both lenders and borrowers on complex, high-dollar real estate loans for asset types ranging from hospitality, office, and industrial to retail, mixed use, and multifamily. We are seeking a Real Estate Attorney with at least 6 years of experience to join the team in our Denver office. Corporate Associate, Denver Office

The Denver office of Brownstein Hyatt Farber Schreck is looking for a deal lawyer with 3-5 years of experience in middle market and lower middle market M&A and private equity transactions. Additional experience with outside general counsel work is helpful, but not required.

Finance Associate, Denver Office

Insurance Coverage Litigation Attorney (Los Angeles/Open to other CA locations)

We are seeking a deputy for our corporate insurance group—someone who is highly motivated and proactive. The candidate should have experience in insurance transactional and commercial matters, including mergers and acquisitions, large reinsurance transactions, and arrangements such as MGA/producer agreements. In addition, the attorney will ideally have prior experience with insurance regulatory matters both in connection with the above-mentioned transactions as well as stand-alone insurance regulatory advisory matters.

Litigation Associate (Los Angeles) 

Clyde & Co is seeking a Litigation Associate with 3 to 5 years of experience to work with our downtown Los Angeles office. The team handles matters on behalf of public and private entities in the areas of high exposure personal injury, product liability, abuse, employment law, habitability and ADA matters. We are looking for a bright litigator familiar with the litigation process, and an excellent writer who is highly motivated and proactive with their caseload—someone who will be able to act independently throughout the discovery process and assist in trial, with an interest in working on those matters.

Responsibilities

  • Taking depositions, arguing motions, and attending court hearings and mediations as required;
  • Drafting motions, pleadings, briefs, discovery requests and interrogatories, and other legal correspondence and litigation documents;
  • Conducting complex and rigorous legal research and analysis, and drafting memoranda;

This person’s role would include being the primary draftsperson on a variety of sophisticated commercial real estate transactions and overseeing junior associates’ performance of due diligence activities and drafting of ancillary documents.

    A Note from the Fellowship Founder

    A lot of smart people in the legal profession are focusing on how to retain women in the workforce. And for good reason — the number of female lawyers in law firms is declining and there continues to be a deficit of women and diverse lawyers in the leadership ranks within law firms and legal departments. But what about the highly qualified women and other lawyers who took a hiatus from our profession and want to come back? Why are we not also focusing our attention on that untapped pool of talented professionals?

    As a 30-year talent management veteran in law, I understand the challenges faced by women in these fast-paced, demanding environments. When a third-year female associate in a law firm, for example, takes a job hiatus for several years to raise children, there is invariably a question about where she will fit in the law firm’s compensation and advancement structure upon her return. Many practice group leaders have asked me that precise question when I have presented them with similar lateral candidates. The even tougher questions that typically follow include: “How can we be certain that she has the skills to step right back in? And do we know for sure that she really wants to come back?"

    None of these questions can be answered easily and confidently at the outset. That is why Goldman Sachs, Sara Lee, Credit Suisse, and others have been facilitating “Returnships” (trademarked by Goldman Sachs) for years. These re-entry platforms allow the returning professionals and the organizations to engage in a "try-out" to determine fit, while also giving the professionals a chance to strengthen their skills.

    With the help of more than 20 talent experts and many innovative organizations, we have built our own unique version of the "Returnship" model — with a robust selection process and a comprehensive training and coaching component — in the legal profession. The goal is to provide returning women and other lawyers with additional experience and skills while helping law firms and legal departments replenish their talent pipeline with diverse, high-performers who have a desire to return to and advance in these organizations.

    More than 3 million women left the workforce in the last few years, with the pandemic exacerbating the exodus further. We want to make sure the lawyers who left have a structured path back into law.
