Transactional Attorney

The American Express General Counsel’s Organization (GCO) is looking for an experienced attorney to provide legal support to the [e.g., consumer / small business / commercial payments / merchant services / enterprise digital / corporate development / technologies] business. This business line engages in [e.g., marketing and issuance of payment products to consumers and delivering exceptional benefits and services]. The position will work closely with business clients and legal professionals in the GCO to provide legal advice on a wide range of issues that arise on a day-to-day basis, including negotiating various agreements relevant to [business unit], and providing marketing, product and regulatory support as needed.

JOB RESPONSIBILITIES:

  • Negotiate, draft, and ensure execution of complex agreements and work in close collaboration with other colleagues and subject matter experts across the GCO and the Company to ensure that issues are appropriately reviewed, such as privacy, compliance, bank regulatory, intellectual property, data security and consumer protection.

  • Counsel business clients on product, marketing, regulatory issues, as well as development of customer facing communications, such as claims, disclosures and scripting, as needed.

  • Conduct research and analysis of industry trends, with a particular focus on the areas in which the law intersects with business strategy.

  • Effective, cost-conscious targeted engagements of outside counsel where necessary, with a highly disciplined approach to budget management.


QUALIFICATIONS:

  • Strong experience involving contract and commercial law, including drafting, reviewing and negotiating complex commercial agreements.

  • Self-motivated with capacity to be agile and pivot appropriately when challenged with new information or evolving circumstances.

  • Ability to communicate complex issues clearly and persuasively, in both written and oral format.

  • Resourceful, “can-do” and independent attitude, and demonstrated personal excellence and accountability.

  • Ability to anticipate needs and manage and prioritize competing demands while maintaining high attention to detail and meeting deadlines.

  • Ability to build relationships and partner with internal and external partners to drive results.

  • Prudent judgment and the ability to balance risk and legal compliance and internal policy.

  • JD required. Admitted to New York Bar or eligibility to do so; Member in good standing.

The American Express General Counsel’s Organization (GCO) is looking for an experienced attorney to provide strategic [e.g., consumer finance / bank regulatory / sanctions / anti-money laundering / privacy / employment / immigration] regulatory support across a number of important regulations [e.g., Dodd-Frank; AML; UDAAP; TILA; FCRA] to the GCO’s U.S. legal team and to various divisions of American Express, including [e.g., consumer / small business / commercial payments / merchant services / enterprise digital / corporate development / technologies] business. This individual may also support [populate with additional information – for example the U.S. consumer co-brand and proprietary lending card portfolios, including product development, marketing, and new benefit constructs.]

JOB RESPONSIBILITIES:

  • Regulatory subject matter expert, with a particular emphasis on U.S. regulations in the area of [e.g., consumer finance / bank regulatory / sanctions / anti-money laundering / privacy / employment / immigration].

  • Act as a liaison with business teams on issues that may arise in the context of [e.g., consumer finance / bank regulatory / sanctions / anti-money laundering / privacy / employment / immigration] and other regulations to assist in the development and implementation of policies, procedures and practices that respond to such issues.

  • Direct responsibility for providing legal advice on specific projects relating to support [populate with additional information relevant to the position – for example, the U.S. consumer co-brand and proprietary lending card portfolios.] Counsel business clients on product, marketing, regulatory issues, as well as development of customer facing communications, such as claims, disclosures and scripting, as needed.

  • Role will require close coordination with GCO and Compliance colleagues with responsibility [e.g., card marketing initiatives and loyalty programs] as well as providing support to colleagues throughout GCO and Compliance on other US regulatory issues.

  • Close collaboration with other practice groups and subject matter experts across the organization to ensure that issues are appropriately addressed across the organization, including privacy, compliance, bank regulatory, intellectual property, data security and consumer protection.

  • Conduct research and analysis of industry trends, with a particular focus on the areas in which the law intersects with business strategy.


QUALIFICATIONS:

  • Financial regulatory experience with a large law firm, in-house law department or consumer regulatory agency.

  • Strong preference for candidates with experience in [e.g., consumer finance / bank regulatory / sanctions / anti-money laundering / privacy / employment / immigration].

  • Excellent communications skills, in particular the ability to communicate complex concepts clearly and simply, and to present clear choices.

  • Flexible, creative, able to manage ambiguity well, strategic thinker.

  • Ability and desire to take on a demanding workload and to effectively prioritize.

  • Ability to change leadership style to different situations and influence without direct authority.

  • Strong work ethic and personal accountability.

  • JD required. Admitted to New York Bar or eligibility to do so; Member in good standing.
